THE MAUNA LANI RESORT ASSOCAITON(THE "MLRA- OR THE "ASSOCIATION") IS A HAWAII NON-PROFIT CORPORATION, ESTABLISHED ON JULY 7, 1982 TO EXCERCISE THE POWERS AND PRIVILEGES AND PERFORM ALL OF THE DUTIES AND OBLIGATIONS OF THE ASSOCIATION AS SET FORTH IN MLRA'S DECLARATION OF COVENANTS AND RESTRICTIONS (THE "DC&R").
