THE COMPANY MAINTAINS CERTAIN EMPLOYEE WELFARE BENEFIT PLANS, THROUGH WHICH IT PROVIDES LONG-TERM DISABILITY BENEFITS FOR THE EXCLUSIVE BENEFIT OF CERTAIN OF ITS EMPLOYEES, AND THE COMPANY AND ITS EMPLOYEES DESIRE TO CONTINUE THE TRUST ESTABLISHED PURSUANT TO A TRUST AGREEMENT EXECUTED AS OF DECEMBER 5, 1983.
