THE CORPORATION HAS CREATED THIS 501(C)(9) TAX-EXEMPT TRUST OF A VOLUNTARY EMPLOYEES BENEFICIARY ASSOCIATION (VEBA). THE FUNDAMENTAL PURPOSE OF THE ASSOCIATION IS TO PROVIDE HEALTH BENEFITS TO THE RETIRED MANAGEMENT EMPLOYEES BENEFICIARY OF THE CORPORATION.
