THE PURPOSE OF THE ORGANIZATION IS TO OWN AND OPERATE THE NUTCRACKER MEMBER GOLF CLUB AND RELATED PROPERTY ASSOCIATED WITH IT, AS A PRIVATE MEMBER OWNED GOLF, TENNIS, ATHLETIC, DINNING AND SOCIAL CLUB FOR THE PLEASURE AND RECREATION OF ITS MEMBERS, THEIR FAMILY MEMBERS AND GUESTS; LAWS OF THE STATE OF TEXAS, INCLUDING, BUT NOT LIMITED TO, ESTABLISHING AND AMENDING THE BYLAWS AND OTHER PROPERTY, THE TRANSACTION OF ITS BUSINESS, ENTERING INTO CONTRACTS, LOAN AGREEMENTS AND RELATED DOCUMENTATION, BUYING, HOLDING AND SELLING REAL AND PERSONAL PROPERTY, AND THE CALLING AND HOLDING OF MEETINGS OF ITS MEMBERS' PROVIDED, HOWEVER, THAT THE CORPORATION SHALL NOT, EXCEPT TO AN INSUBSTANTIAL DEGREE, ENGAGE IN ANY ACTIVITIES OR EXERCISE ANY ACTIVITIES THAT ARE NOT IN FURTHERANCE OF THE PRIMARY PURPOSE OF THE CORPORATION.
